Terms & Conditions

Introduction

These Terms and Conditions govern the provision of website design services (“Services”) by Kuiper Industries Ltd to the client (“Client”). By engaging our Services, the Client agrees to be bound by these Terms and Conditions.

1. Website Content

a. The Client shall provide all necessary text, images, and other content (“Content”) required for the website build. The Client represents and warrants that they have the necessary rights and permissions to use and supply the Content.

b. The Client agrees to provide the Content in a timely manner, within the agreed-upon timeframe. Any delay in providing the Content may result in a delay in the completion of the website.

2. Website Design

a. The Web Designer agrees to create a website with a fixed number of pages, as agreed upon with the Client.

b. The Web Designer shall use their expertise to design and develop the website, ensuring it meets industry standards and is functional across common web browsers and devices.

c. The Web Designer reserves the right to make necessary changes to the design and layout to optimize the website’s performance and user experience.

3. Website Development

a. The website will be built using the WordPress Content Management system and the Divi theme builder.

b. For the first 12 months you will be designated an editor on the site, this means you can edit content but you can not do the following without speaking to us first.

i. Install Plugins

ii. Add new Users

iii. Change the theme

Permission to do any of the above will not be unreasonably withheld.

4. Website Ownership

a. The website shall remain the property of the Web Designer for the first 12 months from the date of completion, hereafter refered to as the “rental period”. During this period, the Client shall not transfer, sell, or claim ownership of the website without the explicit written consent of the Web Designer.

b. After the initial 12-month period, the ownership of the website shall be transferred to the Client upon receipt of full payment for the Services rendered.

5. Payment

a. The Client agrees to make regular payments in accordance with the agreed payment schedule. Failure to make payments may result in a suspension or termination of Services.

b. If the Client decides to terminate the Services before the end of the 12-month period and has made less than 12 payments, they agree to surrender the website to the Web Designer, who retains ownership.

6. Upgrades

At any time you can upgrade to a higher package, a new rental period will start from the date of upgrade, with ownership transfering to the client after 12 months.

7. Termination

a. The Client may terminate the Services at any time by providing written notice to the Web Designer.

b. In the event of termination, the Client shall be responsible for any outstanding payments for Services rendered up to the termination date.

c. Termination of the Services does not entitle the Client to a refund for any payments made.

8. Confidentiality

Both parties agree to keep any confidential information shared during the course of the project confidential and not disclose it to any third parties without prior written consent.

9. Limitation of Liability

The Web Designer shall not be held liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the website, even if advised of the possibility of such damages.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement

These Terms and Conditions constitute the entire agreement between the Web Designer and the Client and supersede any prior agreements or understandings, whether written or verbal, relating to the subject matter herein.

By engaging our Services, the Client acknowledges that they have read, understood, and agree to abide by these Terms and Conditions.
